At Share Sampatti, we are committed to providing transparent investment opportunities through tokenized fractional real estate. However, investments in real estate — especially via digital SPV-based models — carry certain financial, operational, and regulatory risks. By accessing, using, or transacting on our Platform, you acknowledge and accept the following:

1. No Guaranteed Returns

Investments made through Share Sampatti do not guarantee any fixed returns, rent, appreciation, or buyback value. Forecasts, illustrations, or calculators presented on the platform are indicative only and are not to be construed as financial advice or promises of profit.

2. Market Risk & Property Valuation

Real estate is subject to macroeconomic conditions, local market fluctuations, interest rates, liquidity, and demand-supply trends. The value of your tokens may rise or fall, and you may incur a loss upon resale.

3. Illiquidity & Exit Risk

Currently, there are no lock-in periods for tokens unless stated otherwise per property. However:

● Liquidity is not guaranteed, and

● Resale may be limited by buyer availability, regulatory compliance, or technical factors.

We reserve the right to introduce lock-in periods or resale conditions in future offerings, and these will be transparently disclosed in each property’s investment memorandum.

4. Ownership Through SPVs

All properties listed on Share Sampatti are held by individual Special Purpose Vehicles (SPVs) managed by Planning Earth Private Limited or its affiliated entities. Token holders receive beneficial interest only, and not direct legal title to physical property.

Risks at the SPV level — including operational failure, non-compliance, insolvency, or mismanagement — can affect investor outcomes

5. No SEBI or RBI License (Currently)

As of now, Planning Earth Private Limited and Share Sampatti are not registered with SEBI or RBI as a collective investment scheme, portfolio manager, or NBFC.

We are compliant under relevant Indian business laws, Companies Act provisions, and property investment norms. Once our assets under management (AUM) cross ₹50 Cr, we intend to formally engage with SEBI and appoint qualified independent directors on our compliance and advisory board.

6. Regulatory Uncertainty

Tokenized real estate in India is an evolving space. While there is no express prohibition, regulations around digital asset ownership, token issuance, and SPV-based property investments may change. New laws or government directions could impact your ability to trade, hold, or monetize your tokens.

7. Delays & Force Majeure

Delays in construction, tenant defaults, legal disputes, taxation changes, municipal claims, or acts of God (force majeure) can affect returns, payout timelines, or property value.

8. Technical & Third-Party Risk

We rely on secure infrastructure, third-party KYC providers, payment gateways (e.g., Razorpay), and data storage partners. Despite precautions, technical glitches, cyber threats, or third-party service disruptions may lead to transaction delays or data exposure.

9. Personal Due Diligence Required

All users are advised to conduct their own due diligence, seek advice from legal or financial advisors, and invest only what they can afford to lose. Our platform provides information and reports for transparency but does not act as a financial advisor or investment intermediary.

10. Limitation of Liability

To the fullest extent permissible under law, Share Sampatti and Planning Earth Private Limited disclaim all liability for any loss, damage, or expense, whether direct or indirect, resulting from:

● Market risks

● Delayed or failed payouts

● SPV-specific events

● Regulatory changes

● Platform downtime

● Investment decisions made based on indicative data
