Welcome to Share Sampatti, a digital platform operated by Planning Earth Private Limited. These Terms & Conditions (“Terms”) govern your use of our website, mobile application, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Platform

1. Platform Overview

Share Sampatti allows users to invest in real estate via tokenized fractional ownership. Each token represents one (1) square foot of a listed property, which is legally held by a Special Purpose Vehicle (SPV) created and managed by Planning Earth Private Limited. Token holders gain economic participation rights but not legal property title.

2. Eligibility

To use the Platform, you must:

● Be at least 18 years of age

● Be an Indian citizen or legally eligible under Indian laws

● Complete KYC verification (PAN and Aadhaar)

● Provide accurate bank or UPI details

● Agree to these Terms and the Privacy Policy

3. Account Registration & KYC

All users must complete KYC verification through our authorized providers. We reserve the right to suspend or terminate accounts that fail verification or provide false information

4. Token Purchase & Payment

● Tokens are purchased based on the rate per square foot displayed for each property.

● Payments must be made via approved gateways (e.g., Razorpay).

● After successful payment, tokens are credited to your wallet and a unique transaction ID is generated.

● Token holdings are viewable in your investor dashboard.

5. Property Ownership via SPVe

● Each property is legally owned by a registered SPV.

● Investors hold economic rights through tokens issued against the SPV.

● The SPV is responsible for compliance, asset holding, and distribution of income (e.g., rent or resale gains).

6. Resale, Exit & Withdrawal

● Resale is subject to lock-in periods, SPV-specific conditions, or platform policies.

● Proceeds from token sales or income distributions are transferred to your verified bank or UPI account within 1–3 business days.

● Users are responsible for ensuring their bank details are accurate and valid.

7. Fees & Charges

● The Platform may apply transaction, management, or withdrawal fees.

● Fee details are shown during investment or withdrawal steps.

● Taxes (e.g., TDS) may be deducted as required by Indian tax laws.

8. User Obligations

You agree to:

● Use the Platform only for lawful purposes

● Maintain confidentiality of your login credentials

● Not share or transfer your account

● Not engage in fraud, impersonation, or money laundering

● Promptly report any suspicious activity

9. Platform Access & Availability

While we aim to provide uninterrupted access, the Platform may be unavailable during maintenance, upgrades, or technical issues. Features may change or be discontinued without prior notice.

10. Intellectual Property

All content on the Platform, including software, trademarks, text, design, and visuals, is the property of Planning Earth Private Limited. You may not reproduce, copy, or modify any content without written consent.

11. Termination

We may suspend or terminate your account if:

● You violate these Terms or applicable laws

● You fail to complete or pass KYC

● Fraudulent or suspicious activity is detected

All valid holdings will be honored or liquidated per platform and SPV terms.

12. Limitation of Liability

Planning Earth Private Limited is not liable for:

● Real estate market risks or investment losses

● Payment gateway delays or failures

● Regulatory changes impacting SPVs or token liquidity

● Any indirect, incidental, or consequential damages

You invest at your own risk.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Mohali, Punjab, India.
